Risk Disclosure
Last updated: April 2026
Investing in unlisted, pre-IPO, or private market securities through SN Capital or related channels involves significant risk. You should read this disclosure carefully and consult independent advisers before investing.
1. General risk warning
You may lose all or a substantial part of your investment. Unlisted securities are not suitable for all investors. Only invest if you understand the risks and can bear potential losses.
2. Liquidity risk
Unlisted securities typically have no or limited public market. You may be unable to sell when you wish, or only at a deep discount to your purchase price. Exit timelines are uncertain.
3. Valuation risk
Prices are often indicative and based on private transactions, broker quotes, or models. Fair value may differ materially. Mark-to-market is difficult; portfolio valuations can swing sharply.
4. Issuer & business risk
The underlying company may face operational failures, competitive pressure, management changes, fraud, or sector downturns. IPO plans may be delayed or cancelled; listing is not guaranteed.
5. Regulatory & legal risk
Laws and regulations (including SEBI, Companies Act, FEMA, tax rules) may change. Issuers or intermediaries may face enforcement or licence issues affecting your holdings or transfers.
6. Counterparty & settlement risk
Transactions may depend on multiple parties (buyers, sellers, escrow, depositories). Default, delay, or documentation disputes can affect settlement or ownership.
7. Concentration risk
Holding a large portion of your wealth in one or few unlisted names increases idiosyncratic risk. Diversification may reduce but not eliminate risk.
8. Information asymmetry
Private companies may disclose less information than listed peers. You may have limited visibility into financials, governance, and material events.
9. Technology & operational risk
Platform outages, cyber incidents, or process errors can affect order entry, reporting, or communication. We implement safeguards but cannot eliminate operational risk.
10. Currency & tax
If applicable, foreign exchange and tax treatment (capital gains, withholding) can affect net returns. Consult a tax adviser.
11. Suitability
You confirm that you are investing voluntarily, with sufficient knowledge or advice, and with funds you can afford to tie up for long periods.
12. No advice
This document does not list every possible risk and does not constitute investment advice. See also our Disclaimer and Terms & Conditions.
